These Seller Terms & Conditions (“Seller Terms”) constitute a binding agreement between Crack On Mate UK Ltd (“CrackOnMate”, “we”, “us”, “our”) and any individual or entity (“Seller”, “you”) who lists, sells, rents, or offers services via the Crack On Mate online marketplace (“Platform”).
By registering as a Seller, posting any Listing, or accepting any payout through the Platform, you irrevocably agree to comply with and be bound by these Seller Terms, the Platform Terms & Conditions, the Returns & Refunds Policy, and all other applicable policies issued by Crack On Mate from time to time.
If you do not accept these Seller Terms, you must immediately refrain from using the Platform.
1. DEFINITIONS
For the purposes of these Seller Terms:
- “Platform” means the online marketplace operated at CrackOnMate.com.
- “Seller” means any User who offers goods, equipment, tools, rentals, or services.
- “Listing” means any product or service posted by a Seller.
- “Transaction” means any sale, rental, or subcontracting engagement entered into through the Platform.
- “Commission” means the fee retained by Crack On Mate from each Transaction.
- “Payout” means the net amount disbursed to the Seller following deductions.
- “Deposit” means a security amount collected for rentals or high-risk items.
- “User Content” means all text, images, data, and materials provided by the Seller.
2. STATUS OF CRACKONMATE
2.1 Crack On Mate operates solely as a marketplace facilitator. Except where expressly stated otherwise, Crack On Mate is not a party to any Transaction between Buyers and Sellers.
2.2 Crack On Mate does not warrant or guarantee:
- the condition, quality, safety, legality, or performance of any listed goods or services;
- the accuracy or completeness of any Listing;
- the skill, conduct, or qualifications of subcontractors.
2.3 Sellers act strictly as independent commercial operators. Nothing in these Seller Terms shall constitute an employment, partnership, agency, or joint-venture relationship.
3. SELLER ELIGIBILITY & ACCOUNT REQUIREMENTS
3.1 To operate as a Seller, you must:
- be at least 18 years of age;
- have full legal capacity to enter contracts;
- comply at all times with UK laws and regulations;
- provide accurate and current registration details.
3.2 Crack On Mate reserves the right to undertake identity and compliance checks (KYC) at any time, including:
- proof of identity and address;
- business registration documents;
- proof of ownership or lawful possession of listed items;
- safety documentation;
- insurance certificates.
3.3 Failure to satisfy verification requirements may result in:
- suspension of Listings;
- restriction or termination of the Seller account;
- withholding or freezing of payouts;
- permanent removal from the Platform.
4. OWNERSHIP, SAFETY & LEGAL COMPLIANCE
4.1 Sellers warrant and represent that:
- they are the lawful owner or authorised controller of all listed items;
- goods are free from liens, theft, counterfeit origin, and unlawful acquisition;
- all items comply with applicable UK safety and regulatory standards.
4.2 Sellers offering tools, equipment, or machinery must ensure compliance with, without limitation:
- PUWER 1998 (Provision and Use of Work Equipment Regulations);
- UKCA/CE marking requirements;
- Electrical safety regulations;
- any other sector-specific legislation.
4.3 Upon request, Sellers must promptly provide documentation evidencing compliance. Failure to produce evidence may result in removal of Listings and possible account termination.
5. Product Safety & Recall
Sellers must immediately notify Crack On Mate upon becoming aware of any actual or potential safety issue, defect, product recall, enforcement notice, or regulatory non-compliance affecting any listed item.
Sellers shall promptly take all necessary corrective actions, including suspending affected Listings, notifying Buyers where legally required, and cooperating fully with Crack On Mate and relevant regulatory authorities.
Failure to comply with this obligation may result in immediate Listing removal, account suspension, fund withholding, or permanent termination from the Platform.
6. LISTINGS: ACCURACY, CONDITION & PROHIBITED ITEMS
6.1 All Listings must be accurate, complete, lawful, and not misleading. Sellers must disclose:
- true item condition;
- defects, wear, faults, or risks;
- whether items are new, used, refurbished, or rentals.
6.2 Sellers must immediately update Listings if item condition changes or if the item becomes unsafe or unavailable.
6.3 The following items and activities are strictly prohibited:
- stolen, counterfeit, unsafe, or non-compliant goods;
- illegal or hazardous materials;
- items requiring licensing unless the Seller is legally authorised;
- unqualified or unlawful subcontracting activities.
6.4 Crack On Mate reserves the unilateral right to edit, restrict, or remove any Listing at any time.
7. RENTALS: EQUIPMENT, TOOLS & MACHINERY
7.1 Rental Listings must clearly specify:
- rental duration and permitted use;
- deposit requirements;
- late return charges;
- inspection protocols;
- liability for damage, loss, or misuse.
7.2 Sellers offering rentals warrant that all equipment:
- is safe, functional, and fit for purpose;
- has been serviced and maintained to industry standards;
- complies with PUWER and relevant UK legislation.
7.3 Sellers bear full responsibility for the safety, legality, and suitability of rental equipment.
8. SUBCONTRACTING & SERVICE-BASED LISTINGS
8.1 Sellers offering services must:
- hold all compulsory qualifications or certifications;
- comply with all relevant UK labour, tax, and CIS obligations;
- perform services with reasonable skill and care.
8.2 Crack On Mate disclaims all liability for workmanship, delays, errors, omissions, or service outcomes.
9. COMMISSION, FEES & ANTI-CIRCUMVENTION
9.1 Commission
Crack On Mate charges a Commission on each Transaction. Commission rates applicable at any time are displayed within the Seller dashboard. Commission is automatically deducted from each Payout.
9.2 Additional Fees
Sellers may also incur:
- processing fees;
- dispute-handling fees;
- chargeback recovery amounts;
- administrative penalties for breaches;
- promotional or Listing-enhancement fees (where applicable).
9.3 Anti-Circumvention (Strict)
Sellers must not:
- attempt to complete Transactions outside the Platform;
- redirect Buyers to private payment systems or external websites;
- share contact details for the purpose of bypassing the Platform.
Any circumvention constitutes a material breach and may result in:
- suspension or termination of the Seller account;
- recovery of avoided fees;
- withholding of payouts;
- legal action.
10. PAYOUTS, WITHHOLDING & RISK CONTROLS
10.1 Payouts are made according to the schedule displayed within the Seller dashboard.
10.2 Crack On Mate may withhold, freeze, delay, or retain Payouts where:
- KYC verification is pending;
- fraudulent, unsafe, or illegal activity is suspected;
- repeated disputes or chargebacks occur;
- regulatory obligations require intervention;
- Listings violate UK safety standards.
10.3 Payout timelines are indicative only and are not guaranteed.
10.4 Crack On Mate may offset any owed fees, penalties, or refunds against future Payouts.
11. DELIVERY, COLLECTION & RISK TRANSFER
11.1 Sellers must dispatch items within the time stated in their Listing.
11.2 For collections or rentals, Sellers must ensure items are available and safe at the agreed time.
11.3 Risk transfers to the Buyer upon:
- successful delivery;
- collection by the Buyer;
- or as expressly stated in the Listing.
Crack On Mate does not assume liability for courier delays, shipping failures, or collection issues.
12. RETURNS, REFUNDS & DISPUTE MANAGEMENT
12.1 Sellers must comply fully with the Consumer Rights Act 2015 and the Crack On Mate Returns & Refunds Policy.
12.2 Where legally required, Sellers must honour returns for:
- faulty or unsafe goods;
- misdescribed items;
- non-delivery;
- statutory consumer rights.
12.3 Disputes must be handled promptly and in good faith.
12.4 Chargebacks may result in:
- reversal of funds;
- administrative charges;
- long-term withholding of Payouts;
- account restriction.
13. MANDATORY INSURANCE
13.1 Sellers offering tools, equipment, machinery, rentals, or subcontracting services must maintain adequate insurance, which may include:
- public liability insurance;
- product liability insurance;
- professional indemnity insurance.
13.2 Sellers must provide proof of insurance upon request. Failure to do so may result in immediate suspension.
14. Insurance – High-Risk Equipment
Where a Listing involves hazardous, high-risk, industrial, or specialist equipment, Crack On Mate reserves the right to require Buyers or Renters to hold adequate and valid liability insurance as a condition of completing the Transaction.
Sellers acknowledge and agree that Crack On Mate may suspend, restrict, or cancel such Transactions where satisfactory evidence of insurance is not provided, without liability to the Seller.
15. GDPR & BUYER DATA HANDLING
15.1 Sellers may process Buyer information solely for fulfilling the Transaction.
15.2 Sellers are strictly prohibited from:
- sending unsolicited marketing;
- retaining Buyer data beyond lawful necessity;
- selling, disclosing, or misusing Buyer data;
- acting in breach of UK GDPR or the Data Protection Act.
Any breach may result in immediate termination.
16. INSPECTIONS, AUDITS & COMPLIANCE POWERS
Crack On Mate may at any time request:
- ownership documentation;
- safety certificates;
- maintenance records;
- photographs or videos of items;
- evidence of qualifications or insurance.
Failure to comply may result in removal of Listings, account suspension, or fund retention.
17. Intellectual Property & Copyright
Sellers warrant and represent that all Listings, User Content, images, descriptions, branding, and materials provided or displayed on the Platform do not infringe, misappropriate, or otherwise violate any third-party intellectual property rights, including but not limited to copyright, trademarks, patents, or database rights.
Crack On Mate operates a notice-and-takedown procedure in accordance with applicable UK copyright and intellectual property laws and may remove or disable access to any allegedly infringing content upon receipt of a valid notice.
The Seller shall fully indemnify, defend, and hold harmless Crack On Mate from and against any claims, demands, losses, damages, liabilities, costs, or expenses (including legal fees) arising out of or in connection with any alleged or actual intellectual property infringement relating to the Seller’s Listings or User Content.
18. INDEMNITY
The Seller shall indemnify, defend, and hold harmless Crack On Mate from and against all claims, liabilities, penalties, losses, damages, and legal costs arising out of:
- unsafe, defective, unlawful, or non-compliant goods;
- rental accidents, injuries, or property damage;
- breach of PUWER, safety standards, or UK law;
- subcontractor negligence, delays, or poor workmanship;
- misrepresentations in Listings;
- intellectual property infringement;
- chargebacks, disputes, or investigations;
- any breach of these Seller Terms.
This indemnity survives termination of the Seller account.
19. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- Crack On Mate shall not be liable for any indirect, incidental, special, punitive, or consequential losses;
- Crack On Mate does not guarantee sales volume, visibility, uptime, or Platform availability;
- Nothing in these Seller Terms excludes liability for fraud or personal injury caused by negligence.
20. SUSPENSION, TERMINATION & FUND RETENTION
Crack On Mate may suspend or terminate a Seller account—with or without notice—where:
- unsafe, stolen, illegal, or counterfeit items are listed;
- repeated disputes or chargebacks occur;
- safety laws or insurance obligations are breached;
- KYC or compliance checks fail;
- anti-circumvention is violated;
- fraudulent or unlawful activity is suspected.
Crack On Mate may retain or freeze funds where legally required or where necessary to mitigate risk.
21. GOVERNING LAW & JURISDICTION
These Seller Terms shall be governed by and interpreted in accordance with the laws of England & Wales.
All disputes shall be resolved exclusively by arbitration or by the courts of England & Wales, at CrackOnMate’s election.
22. AMENDMENTS
Crack On Mate may amend these Seller Terms at any time.
Continued use of the Platform constitutes acceptance of any updated version.
